Reggie Ray's Dining Plan — Terms and Conditions

Issued by: Reggie Ray's Family Restaurants Incorporated, an Ohio nonprofit corporation (EIN 99-3014254), 1888 State Rt. 59, Kent, OH 44240 (the "Restaurant," "we," "us").

"Reggie Ray's" and related names and logos are used under license from Mitchell & Mitchell Holdings Company. Mitchell & Mitchell Holdings Company is not a party to these Terms, doesn't sell or operate the Dining Plan, and has no obligations to Members under it. Other Reggie Ray's locations, including any operated by Mitchell & Mitchell Holdings Company, don't honor these plans, and plans from those locations aren't honored here.

1. Definitions; Interpretation

1.1 Definitions.

  • "Agreement" or "Terms": these Terms, as amended under §11, plus any policy expressly incorporated by reference.
  • "Applicable Law": all federal, Ohio, and local laws that apply, including those on food service, food safety, liquor, sales tax, consumer protection, automatic renewal and electronic payments, and privacy.
  • "Billing Cycle": each one-month period starting on the Subscription Start Date and recurring on the same calendar day of each following month. If a month has no such day, it's the last day of that month.
  • "Community Tiers": the Children's Community Tier and the Adult Community Tier (§4).
  • "Dining Credit": the dollar credit included with certain Subscription Tiers (§3), usable toward eligible purchases under §6.3.
  • "Dining Plan": the Reggie Ray's Dining Plan at 1888 State Rt. 59, Kent, Ohio, including all Subscription Tiers and Community Tiers.
  • "Meal Limit": a Tier's weekly and/or monthly meal allowance under §3.
  • "Member": an individual (or, for the Family Tier, the primary account holder) with an active Subscription in good standing. For a Community Tier, the enrolled participant, or the parent or guardian for a child.
  • "Member Discount": the discount in §5.3.
  • "Plan Menu Items": the items listed for each Tier in §3 and the in-restaurant plan menu, as updated under §9.
  • "Regular Purchase": any purchase not covered by an included plan meal, beverage, dessert or Dining Credit. This includes meals beyond a Meal Limit (§5.2) and items outside a Member's Tier.
  • "Subscription" / "Subscription Tier": any paid monthly tier in §3. The paid Children's Community Tier is also a Subscription for billing, renewal and cancellation purposes (§§7–8).
  • "Subscription Start Date": the date we first successfully charge a Member's payment method and the Member's benefits start.
  • "Week": see §6.1.

1.2 Interpretation. Headings are for convenience. "Including" means "including without limitation." Order of precedence: these Terms conform to the Restaurant's published dining plan brochure dated Sep 27, 2026. If a later promotion or advertisement conflicts with these Terms, these Terms control unless the promotion clearly says it changes them.

2. Agreement; Eligibility; Accounts

2.1 Agreement. You accept these Terms by enrolling in a Subscription Tier, activating or using Dining Plan benefits, or enrolling a child or yourself in a Community Tier. For paid Subscriptions, you'll also be asked to give separate, express consent to automatic renewal (§7.2). Continuing to use the plan doesn't count as that consent.
2.2 Age. You must be at least 18 to enroll in a Subscription Tier. A parent or legal guardian enrolls a child in the Children's Community Tier and is responsible for the child's compliance.
2.3 Accounts and enrollment. You can enroll online on our website at reggierayskent.com or in person at the Restaurant. Either way, you'll set up an account through the Restaurant's point-of-sale (POS) and ordering system. Keep your information accurate and current. We may ask for photo ID or other verification of identity, age (for alcohol), or Community Tier eligibility.
2.4 Not transferable. Subscriptions, meals and Dining Credits are personal to the Member (or, for the Family Tier, the family account). They can't be sold, transferred or shared except as these Terms allow.

3. Subscription Tiers

3.1 General. Each Tier includes the meals, Dining Credits and extras listed below. Meals and Dining Credits can be used for dine-in or takeout. Delivery is available where offered, subject to the Delivery Fee (§5.4). Higher Tiers include all Plan Menu Items from lower Tiers (the Family and Base Select Tiers include Individual Basic and Individual Plus items). Beverages aren't included unless the Tier says so. A "meal" is one Plan Menu Item as listed, with its listed sides.

3.2 Individual Basic: $159/month. 4 meals per week. Dining Credit up to $35 per Billing Cycle. Items: 1 Meat w/ 2 Sides; Pulled Pork Sandwich; BBQ Crispy Chicken Sandwich; Cajun Tacos; Loaded Nachos; Burger with Fries.
3.3 Individual Plus: $199/month. 6 meals per week. Dining Credit up to $45 per Billing Cycle. Items: all Individual Basic items plus Fried Chicken Dinner (2 pc); Smothered Chicken; Jerk Mac & Cheese; Loaded Fries.
3.4 Family: $299/month. 4 family meals per week. Dining Credit of $50 per Billing Cycle (see §6.3). Items: all Individual Basic and Individual Plus items. A "family meal" serves a family of five (5 people): a larger portion or combination platter, as posted on the plan menu.
3.5 Base Select: $49/month. 8 meals per Billing Cycle, no more than 5 in any Week. No Dining Credit. Items: the same as Individual Plus. Base Select is a separate plan from Individual Basic.
3.6 Ultimate: $499/month. 12 meals per week. No Dining Credit unless disclosed at enrollment. Items: all lower-Tier items plus 2 Meats w/ 2 Sides; Chicken & Waffles; Jerk Chicken & Yellow Rice; Grilled Shrimp; Fried Fish Dinner. No alcohol.
3.7 Ultimate Plus: $569/month. 15 meals per week. Items: all lower-Tier items plus Turkey Chops; Spare Rib Sandwich; Classic Pot Roast; Smothered Pork Chop; Smoked Wings. One non-alcoholic beverage and one dessert included with each plan meal. No alcohol.
3.8 Premium: $725/month. 18 meals per week. Items: the full plan menu plus Bistro Signature Pasta; Turkey Drums and Stuffing; Jerk Shrimp & Yellow Rice; New York Strip Steak. One non-alcoholic beverage and one dessert with each plan meal. Two alcoholic beverages per plan meal, dine-in only, with valid ID showing age 21+, only while the Restaurant holds a valid Ohio liquor permit, and subject to §9.4. The $5.99 per-diner dine-in fee and the $6.99 delivery fee are waived (§5.4; third-party delivery platform fees may still apply).
3.9 Menu and prices of included items. The standard menu price of each Plan Menu Item is the posted menu price. Burger with Fries and Smoked Wings are $8.99 each. Fried Chicken Dinner and Fried Fish Dinner are separate items at $15.99 each. Chicken 1/4 is $10.00 per pound. The Member Discount (§5.3) applies to all of them when they're bought as Regular Purchases.

4. Community Tiers

4.1 Purpose. The Community Tiers carry out the Restaurant's charitable purpose of providing hot, nutritious meals to low-income children, adults and people experiencing homelessness in Kent and Portage County. Eligibility is based on need, as set out below.

4.2 Children's Community Tier: $40/month for K–12 students, or free for qualifying low-income households (the free option uses the §4.3 eligibility rules). For school-age children in K–12. One hot after-school meal per enrolled child per eligible day, Monday–Friday, 3:00–6:00 PM, chosen from three rotating daily specials. Excludes closures, holidays and posted blackout dates. Unused days don't carry over. A parent or guardian enrolls. The paid $40 option is a Subscription under §§7–8. The free option carries no charge and no payment method is collected.

4.3 Community Tier eligibility (Children's free option and Adult Tier). A person qualifies if any of these applies:
(a) SNAP: the applicant's household is enrolled in SNAP (Ohio Food Assistance);
(b) School meal program: for the Children's Tier, the child is enrolled in the free or reduced-price school meal program (NSLP), or attends a Community Eligibility Provision school; for the Adult Tier, a child in the adult's household is enrolled;
(c) Agency referral: the applicant is referred by a partner agency;
(d) Other government food assistance: the household receives another government food assistance benefit (e.g., WIC, TEFAP/food pantry programs, Summer EBT, senior nutrition programs);
(e) Government medical assistance: the household receives government medical assistance such as Medicaid (e.g., an Ohio Medicaid card or approval notice); or
(f) Affidavit of indigency: the applicant (or, for a child, the parent or guardian) signs an affidavit of indigency (Appendix 1) listing household size and shows proof of income. There is no fixed income threshold. Authorized staff decide whether the household is in need, based on the household size and proof of income.
Proof (a SNAP/EBT card or benefits notice, a school-meal approval letter, a referral card or letter, a WIC or other food-assistance card or notice, a Medicaid card or approval notice, or proof of income for the affidavit path) is checked in person by authorized staff and handed back. It isn't copied, scanned, uploaded or stored. Only the eligibility status, which path was used, the approval date, the next re-check date and the approving staff member are recorded (Privacy Notice §1).
Six-month re-check. Community Tier eligibility lasts six months from the approval date. Before the re-check date we'll remind the participant, and the participant shows current proof under any §4.3 path to stay enrolled. If eligibility isn't re-confirmed by the re-check date, the free Community Tier benefit pauses until it is. A participant can re-qualify at any time.

4.4 Adult Community Tier: free for qualifying individuals. One free hot meal per qualifying adult each Tuesday. Hours: Tuesdays 12–8 PM, Community Tier members only. Eligibility is under §4.3 (SNAP, school meal program, agency referral, other government food assistance, government medical assistance such as Medicaid, or affidavit of indigency with household size and proof of income). No fee, no subscription, no payment method. The meal isn't transferable and has no cash value.

4.5 Community Tuesdays. Tuesdays 12–8 PM, Community Tier members only. There's no public dining and no paid-plan redemption on Tuesdays. Children's Community Tier meals are served on Tuesdays 3–6 PM like other weekdays. Paid-plan weekly Meal Limits are not increased or prorated because Tuesday is unavailable. The Restaurant's first day of service is Tuesday, December 1, 2026 (Community Tuesday only). The first day open to the public and to paid-plan Members is Wednesday, December 2, 2026.

4.6 Changes. We may change or end a Community Tier under Applicable Law. We'll give 30 days' posted notice where possible, and paid $40 enrollees get the §11 rights.

5. Prices, Regular Purchases, Member Discount, Fees and Taxes

5.1 Subscription prices. Individual Basic $159; Individual Plus $199; Family $299; Base Select $49; Ultimate $499; Ultimate Plus $569; Premium $725; Children's Community (paid option) $40. All per month. Prices can change only under §11.
5.2 Meals beyond the Meal Limit. Once a Member reaches a weekly or monthly Meal Limit, more meals are Regular Purchases at the standard menu price, less the Member Discount, and are paid at the time of order.
5.3 Member Discount. Members with an active paid Subscription get 35% off the standard menu price on all Regular Purchases. This includes meals beyond the Meal Limit, items outside their Tier, and all other food and non-alcoholic beverage purchases. The discount applies before tax. It doesn't apply to alcoholic beverages, gift cards, catering or third-party delivery platform orders, and can't be combined with other promotions.
5.4 Dine-in and Delivery Fees. (a) Dine-in fee: $5.99 per diner using a plan meal at the table. There's no dine-in fee on regular (non-plan) orders. (b) Delivery fee: $6.99 per delivery order, for everyone (Members and non-members, plan or regular orders). (c) Premium waives both fees. (d) No fee applies to carryout. These fees are shown before you enroll, at checkout and on each receipt.
5.5 Add-ons. Extra sides, proteins, toppings and changes may cost extra. The price is shown at ordering.
5.6 Sales tax. Subscription prices don't include sales tax. We collect 7.25% sales tax (Ohio 5.75% plus Portage County 1.50%) on dine-in orders only, on the amount actually charged at the time of the order (for a plan meal eaten in, that's the charges actually billed for that visit, such as the $5.99 dine-in fee and any Regular Purchases). No sales tax is charged on carryout or delivery food. Alcoholic beverages (§9.5) are taxed as the law requires, whether dine-in, carryout or delivery.
5.7 Third-party delivery. Third-party platforms may charge their own fees, which we can't waive.

6. Meals, Dining Credits, Redemption and Expiration

6.1 Weeks and months. A "Week" is each calendar week from Monday through Sunday. Weekly meal allowances apply per Week. Monthly allotments (Base Select's 8 meals) and Dining Credits run per Billing Cycle. Base Select's 5-per-Week cap applies in each Monday–Sunday Week. Tuesdays are Community-only (§4.5), so paid-plan meals can be used Monday and Wednesday through Sunday.
6.2 Daily limits. We may set reasonable per-visit or per-day limits, posted in the restaurant: e.g., no more than 2 plan meals per Member per day; Family: 1 family meal per visit.
6.3 Dining Credits. Dining Credits can be used toward Regular Purchases of food and non-alcoholic beverages and can't be used for alcohol, tips, gift cards or fees. Credits aren't cash and aren't redeemable for cash except where the law requires. Using credits doesn't reduce meal counts.
6.4 Expiration: unused meals and credits.
(a) Monthly allotments (Base Select meals) and Dining Credits expire at the end of each Member's Billing Cycle, the one-month period starting on the Member's sign-up, renewal or plan-change date (§§1.1, 7.6).
(b) Nothing rolls over into the next Billing Cycle, and unused meals and credits aren't refunded, except under §7.4 (Restaurant-caused interruptions) or where the law requires.
(c) Weekly meals lapse at the end of each Week (Sunday). An unused weekly meal can't be used in a later Week.
This rule must be shown clearly at enrollment (§18).
6.5 How to redeem. Identify yourself as a Member when you order (name, phone number, member number or digital code). For takeout or delivery, link your account as instructed.
6.6 Balances. Your remaining meals and credits appear on receipts and in the member portal or on request.
6.7 Blackout dates. We may set blackout dates (e.g., Thanksgiving, Christmas Day) with at least 14 days' notice, or right away for force majeure (§15). Tuesdays are always Community-only (§4.5).

7. Term, Automatic Renewal, Cancellation and Refunds

7.1 Term. Each Subscription runs month to month from the Subscription Start Date until cancelled.

7.2 Automatic renewal: disclosure and consent. Your Subscription renews automatically every month, and we'll charge your payment method your plan's monthly price plus any applicable fees on the same day each month until you cancel. You can cancel any time (§7.3). Before we collect your payment information, we'll clearly show you: the plan and price; that it renews and charges monthly until you cancel; the charge date; how to cancel; and the expiration and refund rules in §§6.4 and 7.4. We'll ask for your separate, express consent to automatic renewal (an unchecked box or a separate signature/tap, not bundled with acceptance of other terms). We'll send a confirmation by email or text with these terms and how to cancel, and keep a record of your consent for at least 3 years.

7.3 How to cancel. You can cancel at any time, by any of these: (a) online, in the member portal at reggierayskent.com, with a clearly labeled "Cancel plan" button; (b) in person at the counter; (c) by email to [email protected]; or (d) by phone at (234) 226-0561 during business hours. We won't require you to talk to a retention agent or give a reason. We'll confirm the cancellation in writing right away. To avoid the next monthly charge, cancel at least 1 day before your next billing date. Cancellation takes effect at the end of the current Billing Cycle, and you can use your remaining meals and credits until then.
7.4 Refunds. Subscription fees for a Billing Cycle that has started aren't refundable, except:
(a) First-charge refund: if you cancel within 3 days after your first charge and haven't redeemed any meals or credits, you get a full refund;
(b) Restaurant closure: if we're closed (other than Tuesdays and posted blackout dates) for more than 3 consecutive scheduled days in a Billing Cycle, including for force majeure, you get a pro-rata credit or refund at your choice;
(c) Program or Tier discontinued by us: a pro-rata refund of the unused part of the current Billing Cycle;
(d) Billing errors: under §8.4; and
(e) Where Applicable Law requires.
Refunds go to the original payment method within 10 business days.
7.6 Purchases and plan changes: charged and effective immediately. When you buy a plan or change to a different plan (upgrade or downgrade), we charge the full monthly price of the new plan right away, and the new plan takes effect right away. Plans are paid monthly in advance. The date of the purchase or change becomes the start of your new Billing Cycle, and your plan renews on that day each month. Meals, Dining Credits and other perks renew at the start of each Billing Cycle. There's no proration: we don't give partial credits or partial charges for part of a month, and meals and credits left on the old plan end when the new plan starts. Before you confirm a purchase or plan change, we'll show you the amount to be charged, the new renewal date, and what happens to any remaining meals and credits, and we'll ask for your express consent.

7.5 Our termination. We may suspend or end a Subscription or Community Tier enrollment on notice for non-payment, fraud or misuse, unsafe or abusive conduct, or material breach. If we end a Subscription for cause, unused meals and credits are forfeited to the extent the law allows, but we won't charge for any later Billing Cycle. If we end one without cause, §7.4(c) applies.

8. Payment

8.1 No sales before merchant account and vendor's license. The Restaurant won't sell any Dining Plan, take any enrollment deposit or pre-sale, or store any payment method until: (a) the Restaurant has its own merchant account and POS, in the legal name Reggie Ray's Family Restaurants Incorporated and under EIN 99-3014254, settling to the Restaurant's own bank account; (b) the Restaurant holds an Ohio vendor's license for 1888 State Rt. 59, Kent (Portage County); and (c) the food service operation license has been issued, and, for alcohol benefits, the liquor permit has been issued.
8.2 Payment methods; authorization. You authorize the Restaurant, through its payment processor, to charge your payment method for monthly Subscription fees, Regular Purchases, fees, add-ons and taxes as they come due. You must be authorized to use the payment method.
8.3 Failed payments. If a charge fails, we'll notify you and may retry up to 2 times over 7 days. We may suspend benefits until payment succeeds and end the Subscription after 14 days. No late fees.
8.4 Billing errors. Tell us within 60 days of a charge at [email protected] or (234) 226-0561. We'll investigate in good faith and correct confirmed errors by refund or credit within 10 business days. This doesn't limit any rights you have under Applicable Law or with your card issuer.
8.5 No charitable contribution. Dining Plan payments are payments for meals and services. They are not donations or charitable contributions, and they are not tax-deductible. Separately, any donation to the Restaurant would be handled apart from these Terms, with its own receipt.

9. Menu, Availability, Substitutions, Alcohol

9.1 Menu items depend on availability, and we may change the plan menu, keeping each Tier's overall value. We'll give 14 days' notice of material reductions (§11).
9.2 We may substitute comparable items or sides in good faith.
9.3 We control preparation and portions, consistent with the Tier descriptions.
9.4 Alcohol is served only to guests 21+ with valid ID, only while we hold a valid permit, and staff may refuse service for safety or legal reasons. Unused alcohol benefits have no cash value.
9.5 Online alcohol orders (Soulrita). We sell the Soulrita online for carryout and delivery, only while we hold a valid Ohio liquor permit that allows it.
(a) 21+ only. By ordering alcohol you confirm you're at least 21.
(b) ID checked at handoff. At pickup or delivery, we check a valid government-issued photo ID showing the person receiving the order is 21 or older and is the person who placed the order. We look at the ID and don't copy or store it (Privacy Notice §1).
(c) Refusal. We'll refuse to hand over alcohol if no valid ID is shown, if the ID shows the person is under 21, if the person appears intoxicated, or if the law otherwise prohibits the sale. The rest of the order is still handed over.
(d) Refund if refused. If we refuse to hand over alcohol under (c), we refund the price of the alcohol and the tax on it to your original payment method within 10 business days. The delivery fee isn't refunded when the rest of the order is delivered.
(e) No alcohol in plan credits. Dining Credits and the Member Discount can't be used for alcohol unless counsel approves in writing (§§5.3, 6.3). This doesn't change the Premium Tier's included dine-in drinks (§3.8).

10. Health, Safety and Allergens

10.1 Allergen notice. Our kitchen prepares items containing common allergens, including peanuts, tree nuts, dairy, eggs, wheat (gluten), soy, fish, shellfish and sesame. We take precautions to prevent cross-contact, but we can't guarantee any menu item is free of any allergen. Please tell us about food allergies or dietary restrictions every time you order. You're responsible for deciding whether to eat a particular item. Community Tier daily specials may change without notice. Ask staff about ingredients.
10.2 Consumer advisory. Consuming raw or undercooked meats, poultry, seafood, shellfish or eggs may increase your risk of foodborne illness (e.g., steaks cooked to order).
10.3 Food safety. We prepare and serve food in compliance with the Ohio Uniform Food Safety Code and our Portage County food-service license.

11. Changes to Terms and Prices

11.1 We may change these Terms, plan benefits or prices. We'll give Members at least 30 days' advance notice by email and text of any price increase, reduction in benefits, or change to renewal or cancellation terms, before it takes effect at the start of a later Billing Cycle. The notice will explain how to cancel.
11.2 If you don't agree, you can cancel before the change takes effect and won't be charged the new price. Continuing a Subscription after the effective date is acceptance, but this never replaces the express renewal consent in §7.2.

12. Privacy and Communications

12.1 We collect contact, payment, purchase-history and eligibility information to run the Dining Plan and the Community Tiers. Card data is handled by our payment processor.
12.2 Community Tier eligibility. Eligibility is under §4.3 (SNAP, school meals, an agency referral, other government food assistance, government medical assistance such as Medicaid, or an affidavit of indigency listing household size with proof of income). Proof of eligibility is checked in person and not stored on the ordering site. We record only the eligibility status, which option and path, the approval date, the next re-check date (eligibility is re-checked every six months under §4.3), and the approving staff member (for the Children's Tier, the child's first name and last initial and grade band under the parent's account). We don't share a participant's Community Tier status except with their consent, with the referring partner agency (to confirm enrollment), or as the law requires. We may report aggregate, anonymized numbers (e.g., meals served) to funders. Mitchell & Mitchell Holdings Company receives no customer or participant data (Privacy Notice §6.3).
12.3 Transactional messages (receipts, renewal and change notices, and six-month Community Tier re-check reminders) are part of the service. Marketing emails need your opt-in and marketing texts need your separate prior express written consent. Consent isn't a condition of purchase, and you can opt out any time (reply STOP to texts).
12.4 Privacy Notice. Our Privacy Notice at reggierayskent.com/privacy and in the restaurant explains what we collect, Square payment handling (we don't store full card numbers), cookies, retention, your rights requests, and Ohio breach notification. It is incorporated into these Terms.

13. Misuse

Members may not misrepresent identity or eligibility, share or resell benefits, use the plan for commercial resale, or behave abusively. We may review POS activity to detect misuse and may suspend or terminate under §7.5.

14. Disclaimers; Limitation of Liability

14.1 Savings depend on how you use the plan and aren't guaranteed.
14.2 To the extent Applicable Law allows, the Restaurant isn't liable for indirect, incidental, consequential or punitive damages. Its total liability for any claim about the Dining Plan is limited to the Subscription fees you paid for the Billing Cycle in which the claim arose. Nothing in these Terms limits liability for personal injury caused by our negligence, for gross negligence or willful misconduct, or any right under the Ohio Consumer Sales Practices Act or other laws that can't be waived.

15. Force Majeure

We aren't liable for failures caused by events outside our reasonable control (severe weather, fire, utility outage, public health orders, supply disruption, labor shortage, government action). During such an event we may suspend or modify benefits, and §7.4(b) refund/credit rules apply.

16. Governing Law; Disputes

16.1 Governing law: Ohio. These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws rules.
16.2 Informal resolution. Contact us first at [email protected] or 1888 State Rt. 59, Kent, OH 44240. We'll try to resolve it within 30 days.
16.3 Venue. Courts in Portage County, Ohio (including the small claims division of the Portage County Municipal Court, Kent Division, where eligible), or the U.S. District Court for the Northern District of Ohio. Either party may use small claims court. No arbitration clause and no class-action waiver.

17. General

Entire agreement (these Terms plus the enrollment confirmation); severability; no waiver unless in writing; Members may not assign. We may assign only to a successor nonprofit or charitable entity operating the Restaurant, with 30 days' notice and your right to cancel with a pro-rata refund. Nothing here creates a partnership, agency, fiduciary or franchise relationship. Notices to Members go by email or through the POS/portal, and notices to us go to the contact in §16.2. Survival: payment obligations for charges incurred, §§8.4, 10, 14, 16.

18. Enrollment acknowledgment (to be shown at sign-up)

☐ I've read the Dining Plan Terms, including the allergen notice, the expiration rules (weekly meals lapse at the end of each Monday–Sunday week; monthly meals and credits expire at the end of each billing cycle; nothing rolls over), and the fees ($5.99 per diner for plan meals eaten in; $6.99 per delivery order; both waived for Premium).
☐ I understand that buying or changing a plan charges the full monthly price right away and starts a new billing cycle, with no proration, and that weekly meals lapse each Sunday and monthly meals and credits expire at the end of each billing cycle.
